Opening a corporate bank account in China for a WFOE starts after the company has the documents the selected bank needs. Incorporation alone does not guarantee account approval because banks run their own KYC and risk review.

“WFOE” remains common market shorthand. Under Article 2 of the PRC Foreign Investment Law, these companies fall within China’s broader foreign invested enterprise framework.

Key Takeaways

  • PBOC rules allow an enterprise only one RMB basic deposit account, while other accounts depend on its funding and transaction needs.
  • For a basic account, PBOC requires verification of the legal representative’s or person in charge’s account-opening intent. The bank may use face-to-face or video verification based on risk.
  • China introduced new customer due diligence rules on January 1, 2026 and separate beneficial owner identification rules on January 20, 2026.
  • Our current China setup workflow plans for one in-person bank visit by the company owner. Treat this as a service and bank workflow assumption, not a universal PBOC attendance rule.
  • Our current China setup package starts at USD 4,909 and includes bank account document preparation and assistance. The package price is not a stand-alone bank fee.

What Rules Govern WFOE Bank Account Opening in China in 2026?

WFOE bank account opening in China sits under several PBOC, SAFE, beneficial ownership, and foreign investment rules. Each rule covers a different part of the process.

1. PBOC Enterprise Bank Settlement Account Rules

Article 3 of the PBOC Enterprise Bank Settlement Account Management Measures places basic and temporary enterprise bank accounts under a filing system. It also limits an enterprise to one basic deposit account.

Article 10 requires a bank to verify the legal representative’s or person in charge’s intention to open a basic account. The regulation permits face-to-face or video verification, with the bank choosing the method based on risk.

2. Joint Customer Due Diligence Rules Effective January 1, 2026

The Measures for Customer Due Diligence and Retention of Customer Identity and Transaction Records by Financial Institutions took effect on January 1, 2026.

People’s Bank of China, National Financial Regulatory Administration, and China Securities Regulatory Commission jointly issued the measures as Order [2025] No. 11.

The rules require financial institutions to verify customers, understand the purpose and nature of the relationship, and identify beneficial owners. Higher-risk cases can require further review of source and use of funds.

3. PBOC Beneficial Owner Identification Rules Effective January 20, 2026

PBOC Order [2025] No. 12 added a specific framework for financial institutions to identify and reasonably verify beneficial owners. It took effect on January 20, 2026.

Under Article 8, a beneficial owner can include a natural person who ultimately holds more than 25% ownership, benefits, or voting rights, or someone who exercises actual control.

If those tests identify no qualifying natural person, the rule provides for the person responsible for daily management to be identified as the beneficial owner.

4. Beneficial Owner Information Filing Rules

PBOC and SAMR Order [2024] No. 3 created China’s beneficial owner information filing framework from November 1, 2024.

The filing system does not replace bank KYC. A bank still has to perform its own beneficial owner identification and reasonable verification under the financial institution rules.

5. SAFE Foreign Exchange Rules

SAFE Huifa [2025] No. 43 changed several direct investment foreign exchange procedures. It removed pre-establishment expense basic information registration and simplified specified domestic reinvestment procedures.

Which Bank Accounts Does a WFOE Usually Need?

A WFOE usually starts with an RMB basic deposit account, then adds other accounts when its capital funding, foreign currency receipts, or payment flows require them.

Account or RouteMain FunctionWhen It Is Relevant
RMB basic deposit accountPrimary RMB corporate settlement accountCore operating account. PBOC rules allow only one basic account per enterprise.
General RMB deposit accountAdditional eligible RMB banking needsUsed where the enterprise meets the applicable account requirements.
Foreign currency capital accountReceives foreign currency capital contributionsRelevant where capital is contributed in foreign currency or the FDI funding structure requires it.
Current account FX routeEligible trade or service receipts and paymentsDepends on transaction type, currency, supporting documents, and the bank’s foreign exchange process.

The right account mix follows the money. A company receiving shareholder capital from overseas has a different banking setup from one that earns only RMB revenue from Mainland customers.

What Documents Should You Prepare for a WFOE Bank Account?

A WFOE bank file starts with documents required under the PBOC settlement account rules. The selected bank may request additional evidence based on ownership, activity, counterparties, and risk.

Statutory Account Opening Documents

Article 7 of the PBOC Enterprise Bank Settlement Account Management Measures lists the business license and valid identification for the legal representative or person in charge.

If another person handles the application, the enterprise also needs the relevant authorization and that person’s valid identification. Other documents can apply under the wider RMB settlement account rules.

Ownership and Beneficial Owner Evidence

Banks may need enough evidence to trace the ownership and control chain to the natural person who qualifies as the beneficial owner under the 2026 rules.

Depending on the structure, prepare shareholder records, an ownership chart, identification documents, and documents explaining voting or control rights.

Business and Transaction Evidence

The exact KYC list is not universal. Depending on the bank, branch, and risk review, prepare documents showing what the company does and how it expects to use the account.

This can include Articles of Association, contracts, invoices, purchase orders, a company profile, operating address evidence, and expected counterparties or transaction corridors.

Source and Use of Funds Evidence

Source and use of funds checks are risk based rather than automatic for every applicant. Joint Order [2025] No. 11 requires deeper review where money laundering or terrorist financing risk is higher.

Notes from InvestinAsia Consultants

Before a bank appointment, we compare the ownership documents with the expected payment flow. Names, control rights, business activity, and remittance details should tell the same story before the bank starts its review.

Does the Owner or Legal Representative Need to Be in China?

Physical attendance is not stated by PBOC as the only permitted verification method for a basic account. Article 10 allows the bank to verify account-opening intent face to face or by video.

The bank chooses the verification method according to customer risk. A bank or branch can still require an in-person visit under its own onboarding, signature, identity, or internal control procedures.

Our current vOffice Group China setup workflow plans for one in-person bank visit by the company owner. Confirm the selected branch’s attendee and verification requirements before booking travel.

A branch may distinguish between the legal representative, company owner, authorized account operator, and other signatories. Ask who needs to appear rather than assuming those roles are interchangeable.

How Does the WFOE Bank Account Opening Process Work?

WFOE bank account opening works best when you choose the bank before finalizing the appointment file. The branch’s requirements affect documents, attendees, account types, and the verification process.

  1. Map the company’s cash flows. Identify expected RMB revenue, shareholder funding, foreign currency receipts, payroll, supplier payments, and cross-border transfers.
  2. Select a bank and branch. Check whether the branch supports the currencies, international transfers, online banking, and account types your company expects to use.
  3. Confirm the KYC checklist. Separate mandatory corporate documents from additional ownership and business evidence requested by that branch.
  4. Confirm the verification method. Ask who needs to participate, whether the bank requires an in-person visit, and which original documents or company chops it expects.
  5. Complete the bank’s review. The bank checks identity, authority, beneficial ownership, business purpose, and expected account activity.
  6. Activate the required accounts. Set up online banking and any capital or foreign currency arrangements required by the company’s funding model.

Banking follows the corporate setup sequence. Our guide on registering a company in China as a foreign investor covers the incorporation steps that come first.

What Changed in WFOE Bank KYC in 2026?

China’s 2026 KYC changes give banks more explicit rules for customer due diligence and beneficial owner verification. Two instruments are especially relevant to foreign invested companies.

Joint Order [2025] No. 11

Joint Order [2025] No. 11 took effect on January 1, 2026. It requires financial institutions to identify customers and verify them using reliable, independent materials, data, or information.

The bank must understand the purpose and nature of the relationship according to risk. For higher-risk cases, it must also understand source and use of funds and apply enhanced due diligence.

PBOC Order [2025] No. 12

PBOC Order [2025] No. 12 took effect on January 20, 2026 and deals specifically with beneficial owner identification by financial institutions.

Article 8 uses ownership, benefit, voting rights, and actual control tests. Banks cannot rely only on information pulled from the beneficial owner information system.

This makes consistency across the ownership chart, corporate records, identification documents, and control arrangements more important during bank onboarding.

Notes from InvestinAsia Consultants

Do not treat beneficial owner filing as proof that bank KYC is finished. The bank performs its own verification, so the supporting ownership documents should be ready even when the company’s filing is already complete.

What Happens if the Bank Cannot Complete KYC?

A bank cannot establish the relationship when it cannot complete the customer due diligence required by Joint Order [2025] No. 11.

Article 30 also provides that an existing relationship may need to be terminated depending on the circumstances. Where suspicious activity concerns exist, the financial institution may have further reporting obligations.

PBOC’s enterprise settlement account rules separately allow banks to extend review, strengthen due diligence, and refuse an account where abnormal account-opening circumstances require those measures.

For a WFOE, incomplete KYC can therefore delay operational banking even after the business license has been issued. Treat bank preparation as a separate workstream rather than the final administrative formality.

How Do Capital Contributions and Foreign Currency Flows Work?

Foreign investment capital and everyday RMB operating receipts can follow different banking paths. Confirm the account and settlement route before the overseas shareholder sends funds.

SAFE Huifa [2025] No. 43 removed the previous basic information registration step for pre-establishment expense accounts. It also simplified specified domestic reinvestment procedures for foreign invested enterprises.

For foreign currency capital contributions, the bank may use an applicable FDI or capital account. The settlement and transfer path depends on the currency, transaction purpose, documents, and current foreign exchange rules.

Depending on the settlement method, converted RMB may also move through a settlement-pending-payment account or another bank directed account path where applicable.

FlowIllustrative Banking Path
Foreign shareholder capitalOverseas shareholder to applicable FDI or capital account, followed by the bank’s settlement or transfer process and permitted RMB use.
Mainland operating receiptsCustomers pay eligible RMB receipts into the company’s operating account structure.
Foreign currency trade or service receiptsThe bank applies the relevant current account foreign exchange route and supporting document checks.

These paths are illustrations rather than a universal account map. Ask the selected bank to confirm the structure before capital is remitted.

How Long Does WFOE Bank Account Opening Take?

China has no single nationwide bank onboarding timeline that applies to every WFOE. Timing changes with the bank, branch, ownership chain, risk review, and completeness of the file.

Our current vOffice Group China service page estimates company registration at about 7 to 10 business days after complete documents are ready. That estimate covers incorporation, not bank approval.

Bank review can slow down when ownership documents conflict, the business activity does not match the transaction profile, or the branch asks for additional evidence.

Travel can also create delay if a founder books a trip before the branch confirms who must attend and which originals need to be presented.

How Much Does China Setup With Banking Assistance Cost?

Our current vOffice Group China setup package starts at USD 4,909. That package includes bank account opening document preparation and assistance alongside incorporation and ongoing compliance items.

Pricing below was checked on September 16, 2026. Package scope and prices can change, so confirm the current commercial proposal before relying on these figures.

PackageCurrent PriceBanking ScopeOther Main Scope
EssentialUSD 4,909Bank account opening document preparation and assistanceIncorporation, government fee and stamp duty, core company documents, monthly accounting and tax filing
CompleteUSD 6,100Includes the Essential banking supportCorporate secretary support, filing reminders, and a registered address for one year in Shenzhen, Xi’an, or Wuhan

These figures are company setup package prices. They should not be read as a universal bank account opening fee.

The published package page does not state one bank fee that applies across all institutions. Confirm account maintenance, transfer, online banking, token, and foreign exchange charges with the selected bank.

Bank approval remains subject to the bank’s onboarding, KYC, AML, sanctions, and risk controls. Document assistance does not guarantee account opening.

When Can Hong Kong Be an Alternative to a Mainland WFOE?

A Hong Kong company can suit regional, holding, or cross-border trading functions when you do not need that company itself to operate as a Mainland Chinese entity.

The decision should follow where staff work, where customers contract, where invoices are issued, and which licences the activity requires.

Operating ConsiderationMainland Foreign Invested CompanyHong Kong Company
Mainland operating entityCreates a locally registered enterprise when properly established and licensed.Does not by itself create a Mainland operating entity.
Mainland employeesCan support direct local employment subject to Chinese employment requirements.A Hong Kong entity alone does not become the Mainland employer.
Local Mainland commercial activityDesigned for permitted onshore business activities within its registered scope and licences.Additional Mainland structuring may be required for onshore activities.
Cross-border sourcing or regional tradingMay be more infrastructure than an offshore trading model needs. Can suit international trading or sourcing where the transaction model supports it.
Regional holding or international contractsUseful where the business needs the holding or operating function inside Mainland China. Can suit regional functions depending on tax, substance, banking, and commercial requirements.

What Should You Confirm Before the Bank Appointment?

Confirm the branch’s own requirements before anyone travels. A short written checklist from the selected bank can prevent a failed appointment caused by assumptions carried over from another bank.

  • Confirm the bank and exact branch handling the application.
  • Ask who must participate in account-opening intent and identity verification.
  • Confirm whether the branch requires physical attendance or accepts another verification method.
  • Check which originals, translations, authorizations, and company chops the branch expects.
  • Reconcile the shareholder chain with the beneficial owner information and supporting documents.
  • Prepare a concise description of expected customers, suppliers, currencies, transaction values, and payment countries.
  • Ask which account or FX route should receive shareholder capital before sending funds.
  • Confirm online banking access, user permissions, transfer controls, and bank charges.

The safest sequence is to design the banking file around the WFOE’s real business model before the appointment date is fixed.
