A fapiao is an invoice issued under China’s tax rules. For a foreign-owned company selling in mainland China, it is part of the VAT and accounting workflow. A commercial invoice prepared for a customer does not automatically replace a fapiao.
Key Takeaways
- China’s fully digitalized electronic invoices include special VAT and ordinary invoice types.
- An eligible buyer must check both the invoice and the rules for claiming an input VAT credit. Receiving a fapiao alone does not establish the right to deduct.
- A company should reconcile issued and received fapiao with contracts, payments, accounting entries and VAT returns.
- Invoice errors and sales returns need a correction process. Staff should not simply overwrite an issued digital fapiao.
What Is a Fapiao, and How Does It Differ From a Commercial Invoice?
China’s Administrative Measures for Invoices define a fapiao as a document issued or received in the course of selling goods, providing services and other business activities. The rules cover both paper and electronic invoices.
A commercial invoice may help the parties agree on a price, request payment or document an international shipment. A fapiao follows China’s invoice rules and carries the information required for tax administration. Keep the commercial document when the transaction needs it, but check the separate fapiao obligation.
The distinction matters when a foreign founder sets up a mainland operating entity. InvestinAsia’s guide to WFOEs in China covers the company structure. This article focuses on the invoices and records that follow once that entity starts making sales and purchases.
Which Type of VAT Fapiao Does the Transaction Need?
The State Taxation Administration’s digital invoice announcement identifies electronic special VAT invoices and electronic ordinary invoices as distinct types. The buyer, transaction and intended tax treatment determine which document to request or issue.
| Invoice Type | Practical Use | Buyer Check |
|---|---|---|
| Special VAT fapiao | Documents an eligible taxable transaction where the buyer may need evidence for an input VAT credit. | Confirm that the buyer and purchase qualify. Check invoice details and complete any required purpose confirmation. |
| Ordinary fapiao | Documents a sale where a special VAT invoice is unnecessary or cannot be issued. | Verify the invoice and retain it with the transaction records. Do not assume its tax treatment without checking the applicable rule. |
The 2026 VAT Implementing Regulations prohibit a special VAT invoice for a sale to an individual buyer or for a VAT-exempt transaction. Other restrictions may also apply. A customer request alone cannot determine the invoice type.
China’s VAT Law requires a valid VAT deduction document for an input credit. State Taxation Administration guidance also explains that eligible deduction documents can include certain ordinary digital invoices. The word “ordinary” or “special” therefore does not settle every deduction question by itself.
How Do Fully Digitalized Electronic Fapiao Work?
The State Taxation Administration began applying fully digitalized electronic invoices nationwide on 1 December 2024. Its announcement describes a digital invoice with a nationally assigned number and information that can move through taxpayers’ digital tax accounts.
The announcement lists essential fields such as the invoice number, issue date, buyer and seller details, description, amount, tax rate and tax amount. The issuer can deliver the invoice through the electronic invoice platform or other permitted methods, including email.
Digital format does not weaken an invoice’s legal status. China’s VAT Law, effective 1 January 2026, states that electronic and paper VAT invoices have equal legal effect. The Invoice Administration Measures make the same distinction for invoices generally.
Before the first sale, the finance team should confirm who can access the relevant tax system, who may issue fapiao, and which customer details it needs. A company preparing to trade can review the separate China company registration process alongside this invoicing workflow.
Notes From InvestinAsia Consultants
Ask a prospective business customer which fapiao type it needs before the first billing cycle. Then compare that request with the contract, the actual transaction and your company’s VAT status. This gives the invoice issuer a clear instruction without treating the customer’s preference as the tax rule.
How Should a Company Issue and Reconcile Fapiao?
China’s Invoice Administration Measures require invoices to reflect actual business activity. A useful operating process assigns an owner to each step, from checking the sale to matching the issued document with the ledger.
- Check the contract, buyer identity, goods or services, amount and applicable tax treatment.
- Confirm the invoice type and enter the required buyer and transaction details in the authorized system.
- Review the generated fapiao before delivering it to the buyer.
- Match the invoice to the sale, payment record and accounting entry.
- Reconcile the period’s issued invoices with the VAT return and investigate differences.
Invoice timing also affects VAT. Under the VAT Law, if a taxpayer issues an invoice before receiving payment or obtaining the right to request payment, the invoice date can determine when the VAT obligation arises. Finance staff should check timing before issuing an early fapiao.

How Do Service and Trading Company Workflows Differ?
A service company and a trading company need the same basic invoice controls, but their supporting records differ. The examples below are workflow illustrations. The VAT treatment depends on the actual service or goods.
| Company | Before Issuing the Fapiao | Records to Reconcile |
|---|---|---|
| Consulting or other service company | Check the service agreement, work performed, buyer details and billing milestone. | Contract, work evidence, fapiao, receivable, payment and VAT entry. |
| Goods trading company | Check the sales order, product description, quantity, delivery record and buyer details. | Purchase and sales records, delivery evidence, issued and received fapiao, inventory movement and payment. |
A mainland representative office has a different permitted role from an operating company. If you are choosing between structures, review what a China representative office can and cannot do before designing a customer invoicing process around it.
What Should a Buyer Do With a Received Digital Fapiao?
First, verify the invoice and compare it with the underlying purchase. The State Taxation Administration says taxpayers can check a digital invoice through its electronic invoice service platform or national VAT invoice verification platform.
If the buyer intends to use an eligible document for an input VAT credit or an export tax claim, the tax authority requires confirmation of its intended use through the relevant tax account or invoice service platform. A verified invoice still needs a qualifying transaction and correct tax treatment.
Then match the fapiao to the supplier, contract, receipt of goods or services, payment and accounting entry. The Ministry of Finance and National Archives Administration allow electronic accounting vouchers to be used for bookkeeping and archiving when their verification, system and retention conditions are met. A paper printout alone does not remove the need to retain the underlying electronic voucher.
What Happens If a Fapiao Is Wrong or the Sale Changes?
Do not edit an issued digital fapiao as though it were a draft PDF. The Invoice Administration Implementing Rules provide for a red-letter invoice when an electronic invoice needs correction after an error, return, service cancellation or price reduction.
The 2026 VAT Implementing Regulations also address errors and changes involving special VAT invoices. If the company does not follow the required cancellation or red-letter process, it may be unable to reduce the related output VAT or sales amount as intended.
Keep the original invoice, correction record, customer communication and revised accounting entry together. This helps the finance team explain why the final sales figure differs from the first issued document.
Notes From InvestinAsia Consultants
Give one finance owner the task of reviewing invoice corrections before the VAT return is prepared. For a trading company, that review should also reach the delivery and inventory records. A credit agreed by the sales team needs a matching trail in the tax and accounting records.
What Should You Check Before the First Billing Cycle?
Confirm the company’s VAT status and tax-system access, then test a sample sale and purchase with the accountant responsible for filing. Record who issues fapiao, who verifies supplier invoices and who approves corrections.
Keep the first reconciliation simple: compare contracts and transaction records with issued fapiao, received fapiao, payments and ledger balances. Resolve missing or inconsistent documents before preparing the VAT return.
If your China entity and finance process are still being planned together, InvestinAsia’s China market entry and accounting services provide a starting point for discussing the setup scope. Bring a sample customer contract and supplier invoice so the review can address the transactions you expect to handle.
