A PT PMA needs a complete Indonesian registered address. Before committing to premises, check the incorporation documents, whether the intended business activity fits the site, and whether a virtual office supports licensing and tax needs.

Key Takeaways

  • Indonesian company law requires a domicile stated in the articles of association and a complete address consistent with that domicile.
  • For incorporation, the current ministerial rule permits an address certificate from the building manager or competent authority, or a signed address declaration.
  • Check the plot, activity, and applicable RDTR or KKPR route before signing a lease or relying on a virtual office.
  • A virtual office may suit some businesses, but company registration does not establish that the address meets every licensing or VAT registration condition.

What Address Must an Indonesian Company Register?

Article 5 of Indonesia’s Company Law requires a company to have its domicile in Indonesia stated in its articles of association. It also requires a complete address that matches that domicile.

For a foreign-owned PT PMA, this means identifying an actual Indonesian address for company records. A broad city name alone does not satisfy the separate complete-address requirement.

The address is also part of correspondence and corporate documents under Article 5. Choose one that can receive official communications and remain usable as the company moves through registration and licensing.

Which Documents Support the Registered Address?

Minister of Law Regulation No. 49 of 2025, Article 6(1)(h), specifies two alternatives for the address document retained by the notary during incorporation.

  • A copy of a certificate stating the company’s complete address, issued by the building manager or competent authority.
  • An original declaration of the complete address signed jointly by all directors, founders, and commissioners.

Article 6(2) says the notary keeps these documents. The rule does not describe a lease as the sole acceptable incorporation document. A lease can still evidence the right to use the premises.

Ask the building manager what address certificate they can issue. Check that the unit, floor, street, and administrative area match the proposed company details before the notary prepares the filing.

How Do RDTR and KKPR Affect the Address Decision?

An address can be documented for incorporation yet remain unsuitable for the proposed activity. Government Regulation No. 21 of 2021 governs spatial planning and suitability of space use.

Government Regulation No. 28 of 2025 places spatial suitability among the basic requirements of risk-based business licensing. The applicable route depends on the location and activity submitted through OSS.

Start with the exact plot and intended use, not a marketing description such as “commercial address.” Our RDTR guide explains how a detailed spatial plan helps assess a proposed site.

Our KKPR guide explains the spatial-suitability process. Minister of Investment and Downstreaming Regulation No. 5 of 2025 provides the current OSS procedures under the 2025 licensing framework.

  1. Identify the plot, building unit, and the activities the company will actually conduct there.
  2. Match each activity to the relevant KBLI classification, then check the applicable spatial plan and OSS route.
  3. Confirm whether the proposed use, required facilities, and building conditions fit before making the lease unconditional.

Notes From InvestinAsia Consultants

Request the plot coordinates and unit details before paying a deposit. Compare the address on the offer, building certificate, and proposed OSS entry. If these describe different spaces, resolve the discrepancy before filing.

Can a PT PMA Use a Virtual Office?

Possibly. The incorporation address rule does not itself impose a blanket requirement to rent a dedicated physical office. It also does not approve every virtual address for every activity.

Assess the provider’s address documents, actual facilities, and whether the planned activities can lawfully occur at that location. A company that needs production, storage, customer-facing operations, or regulated facilities should examine the operating site separately.

Tax registration can add another test. The Directorate General of Taxes explains that, under PER-07/PJ/2025, virtual-office users seeking VAT taxpayer status face conditions concerning their main service activity, contract term, and the provider.

Those VAT conditions do not mean every PT PMA must register for VAT or that satisfying them clears the address for all business licenses. Confirm the requirements that apply to your own activity.

When Is a Physical Site Necessary?

A physical site is needed when an activity requires premises or facilities that an address service cannot provide. The answer follows the activity, location rules, and licensing conditions rather than foreign ownership alone.

For example, a planned workshop or warehouse needs assessment of where that activity will happen. Registering an administrative address elsewhere does not make the operating location irrelevant to spatial or business licensing.

Use the same proposed activities and locations throughout the incorporation and OSS review. Our NIB guide explains the business identification number issued through OSS and its place in the licensing sequence.

What Should You Check Before Signing?

Treat address selection as an early company setup decision. A short document and location review can expose problems while you can still negotiate the premises.

  • Verify the full address, unit, postcode, and the party authorized to let you use it.
  • Ask whether the building manager can supply the address certificate needed for incorporation.
  • Confirm the proposed KBLI activities, plot coordinates, spatial-plan status, and applicable KKPR path.
  • Check whether an administrative address and an operating site need separate treatment.
  • If considering a virtual office, review the provider documents and any activity-specific or VAT conditions.

Once the address and intended activities are clear, InvestinAsia PT PMA Registration can help you prepare the company setup around that location. Keep any unresolved zoning or premises question visible before filing.
