Before entering Indonesia, stress-test who signs, holds permits, funds delivery, employs staff, invoices customers, and absorbs a failed partnership. Record evidence and a decision owner for each exposure before incorporating or making irreversible commitments.

Key Takeaways

  • Assess likelihood from actual evidence and impact from the commitment at stake; do not invent numerical risk scores.
  • Compare a partner’s AHU company record, NIB search result, current OSS documents, and signing authority with the proposed contract.
  • Under Government Regulation No. 28 of 2025, the required operating permissions depend on the activity and its risk classification.
  • Hold leases, exclusive appointments, hiring dates, and customer promises until their prerequisites have been checked.

Start With The Transaction You Want To Complete

The first risk test is a transaction map. Name the seller, contracting party, importer if relevant, employer, approval holder, payer, and delivery party for the first customer order.

A proposed distributor may sell the product while your company provides installation. Those are different activities and responsibilities. Record both before selecting a company scope or promising a launch date.

Our guide to Indonesian market barriers to entry addresses whether the route is feasible. This review asks what evidence and controls must be in place for the chosen route to work.

Use A Qualitative Risk Register Before Incorporation

A useful register connects each possible failure to evidence, consequences, and a hold point. Review likelihood as supported, uncertain, or contradicted by documents, and impact as reversible or costly to unwind.

These labels are management judgments, not regulatory risk classifications. Reassess them when a document arrives, a contract changes, or the planned activity or location changes.

  • Likelihood: What evidence shows the failure can occur, and has the proposed control been tested? Mark an untested assumption as unknown.
  • Impact: Would failure stop operations, trap cash, breach a customer promise, or force a costly change of partner or premises?
  • Priority: Investigate credible failures with costly consequences first. Hold a commitment when its impact is material and the evidence remains unknown.
ExposureEvidence To RequestCommitment To Hold Until Checked
Contract and exitDraft terms, signing authority, milestones, dispute and termination clausesDeposit, exclusivity, or long-term appointment
CounterpartyAHU record, NIB, current OSS documents, references, financial evidenceCredit terms or control of customer relationships
LicensingActivity description, KBLI, project location, issued and verified permissionsOpening date or regulated work
EmploymentRole plan, candidate evidence, contract review, foreign-worker approval review if neededStart date and staffing budget
Currency and cashQuotation currency, payment terms, funding plan, applicable Rupiah-rule reviewFixed-price promise or advance payment
ExecutionDelivery quotations, capacity proof, acceptance criteria, fallback supplierCustomer delivery guarantee

Assign one person to obtain each document and another to approve the decision it supports. A missing document is an open issue, not a low-risk result.

Verify The Partner And The Authority To Sign

Check the legal entity before checking its sales pitch. Indonesia’s AHU portal provides a company-profile search for limited liability companies, while the OSS portal offers a public NIB search.

Ask for the current deed and amendments, company registration evidence, NIB, relevant OSS activity and location records, and any required permits. Match the legal name and identifiers to the entity in the draft agreement.

A public NIB result is an initial identity check. It does not prove that the proposed work has every required approval or that the person signing the agreement is authorized. Request supporting corporate records and qualified review.

The U.S. International Trade Administration recommends background checks and financial due diligence for Indonesian partners. Request evidence of funding, facilities, customers, and prior delivery that relates to the assignment you plan to give them.

Notes From InvestinAsia Consultants

Put the proposed contracting entity and signatory beside each document. If the names or authority chain differ, resolve the discrepancy before discussing exclusivity or an advance payment.

Test The Contract, Cash Flow, And Exit Together

A contract should make performance measurable before the relationship becomes hard to reverse. Specify deliverables, acceptance evidence, payment milestones, access to customer data, and what happens to stock or unfinished work at termination.

The International Trade Administration also advises clear governance and exit terms for local partnerships. Have Indonesian counsel review the agreement, including language, dispute process, termination rights, and the authority of the signatories.

Test cash flow against a delayed customer payment or supplier delivery. Identify who carries inventory, pays for rework, and finances a replacement provider. Ask for quotations that reflect the actual location and service level.

Bank Indonesia explains that transactions within Indonesia are generally subject to Rupiah-use rules, with exceptions for certain circumstances. Have the proposed quotation and payment structure reviewed before assuming a foreign-currency clause is permissible.

Match Licenses To The Exact Work And Location

Licensing risk turns on what the business will do, where it will do it, and when operations begin. Government Regulation No. 28 of 2025 governs risk-based business licensing and has replaced the 2021 regulation.

Describe each commercial function, then map it to the applicable KBLI business classification. Check foreign ownership conditions and the permissions required for each activity and project location with qualified advisers.

An NIB identifies the business operator, but it does not by itself settle every operating condition. Our guide to business license types explains when a Standard Certificate, verification, business license, or supporting approval may be needed.

Ask the team responsible for filing to produce the issued documents and their verification status. Hold the lease, equipment order, or opening announcement if the specific planned operation still lacks required clearance.

Notes From InvestinAsia Consultants

Track document issuance, verification, and permission to start work as separate checks. A filing receipt does not establish a launch date.

Check Staffing And Delivery Capacity Against The Launch Plan

Staffing risk is a gap between the planned work and people legally and practically available to do it. Define roles, location, supervision, pay budget, recruitment evidence, and the date each role must start.

For foreign personnel, the Ministry of Manpower lists Government Regulation No. 34 of 2021 as in force. It addresses foreign-worker utilisation plans and related requirements. Obtain a role-specific employment and immigration review before scheduling work.

Separately, test delivery with real routes, supplier capacity, response times, and acceptance criteria. A distributor’s coverage claim should be matched with facilities, staff, stock arrangements, and customer references for the territory in question.

Our Indonesia market entry strategy guide helps compare routes once these operating responsibilities are clear.

Make A Go, Hold, Or Redesign Decision From The Evidence

A decision should follow the unresolved dependency, not a single aggregate score. Proceed where evidence supports the work; hold a commitment when permission or capacity is unproven; redesign when the proposed structure cannot perform the transaction.

  1. Go: Identify the document that closes each material issue, its reviewer, and the approval date.
  2. Hold: Name the missing evidence and the lease, payment, appointment, hire, or customer promise that must wait.
  3. Redesign: Change the partner role, contract, delivery route, staffing model, or company scope, then repeat the affected checks.

Keep the register with the draft agreements and licensing records. Revisit it when the first transaction differs from the plan you approved.

Use The Cleared Scope To Plan A PT PMA

When the transaction, activity, and responsibilities are clear, incorporation can follow a defined operating plan. Our PT PMA guide explains the foreign-owned company structure.

Where that structure fits, InvestinAsia PT PMA Registration sets out the incorporation service. Compare its scope with the unresolved licensing, employment, and contractual issues in your register.
