A Labuan company is a Malaysian corporate vehicle incorporated under the Labuan Companies Act 1990 and administered by the Labuan Financial Services Authority. It can access Labuan’s separate tax regime.
The headline 3 percent or non chargeable tax treatment depends on the activity and, where prescribed, real substance in Labuan.
For founders comparing Labuan with an onshore Sdn Bhd, the operating model should come before the tax rate.
Key Takeaways
- A Labuan company must be incorporated through a licensed Labuan trust company and have at least one resident director plus a resident secretary. The regulatory term “resident director” does not by itself mean the person must live in Malaysia.
- Qualifying Labuan trading activity is taxed at 3 percent of audited net profits, while qualifying Labuan non trading activity is not charged to tax under LBATA. Failure to meet applicable substance rules can move the activity to a 24 percent tax rate.
- Substance is activity specific. A non pure equity holding entity has a minimum of one fit and proper full time employee in Labuan and RM20,000 annual operating expenditure, while pure equity holding uses a management and control test plus RM20,000 annual operating expenditure.
- For 2026, Labuan FSA lists a USD 30 name reservation fee, incorporation fees of USD 300, USD 600, or USD 1,500 based on paid up capital, and a USD 1,000 annual company fee. Professional and substance costs sit outside those statutory fees.
How a Labuan Company Is Structured
Labuan uses its own company legislation rather than the Companies Act 2016 framework used for an ordinary Malaysian Sdn Bhd.
Labuan FSA requires the incorporation application to go through a licensed Labuan trust company. The trust company acts as the incorporation agent and handles regulatory due diligence.
Labuan IBFC states that a company can be limited by shares, limited by guarantee, or unlimited.
For the common company limited by shares, the regulator requires at least one share and does not prescribe a general minimum capital amount.
| Structure Point | Current Labuan Position | Practical Meaning |
|---|---|---|
| Incorporation agent | Licensed Labuan trust company | You do not file the company directly without the required trust company role. |
| Shareholding | Minimum one shareholder and one share | A foreign founder or corporate shareholder can use the structure, subject to activity specific rules. |
| Director | At least one resident director | Labuan FSA says the resident director label does not itself require Malaysian nationality or residence. |
| Secretary | Resident secretary | The trust company commonly provides the registered office and company secretarial function. |
| Registered office | Must be in Labuan | Corporate records and statutory administration retain a real Labuan connection. |
| Minimum capital | No general minimum capital, with at least one share | Capital should still match banking, licensing, commercial, and solvency needs. |
The director point deserves care. Section 87 of the Labuan Companies Act was amended in 2022 to require at least one natural person who qualifies as a resident director.
Labuan FSA later clarified that the term does not automatically require Malaysian nationality or physical residence in Malaysia. Eligibility and fit and proper conditions still apply.
For an ordinary incorporation, Labuan FSA lists the memorandum and articles, a trust company declaration of compliance, director consent, individual director forms, and the relevant fees. A regulated activity needs its prior approval before incorporation.
Labuan FSA says an application can be approved within 24 hours after complete documents, payment, and due diligence clearance are in place.
That is a regulator approval target. It is not a promise that banking, licensing, tax registration, staffing, and the operating setup will all finish within one day.
Labuan Company Tax Depends on Activity and Substance
The Labuan Business Activity Tax Act 1990 separates Labuan trading activity from Labuan non trading activity.
Labuan FSA currently states that qualifying trading activity is taxed at 3 percent of audited net profits. Qualifying non trading activity is not charged to tax when the applicable substantial activity requirements are met.
| Tax Position | Typical Treatment | Main Condition | Important Limit |
|---|---|---|---|
| Labuan trading activity | 3 percent of audited net profits | Meet the prescribed substance rules where the activity is listed | Activity classification and specific regulations matter |
| Labuan non trading activity | No tax charged under LBATA | Meet the applicable holding and substance conditions | Pure and non pure equity holding use different substance tests |
| Failure of prescribed substance | 24 percent on chargeable profits | Applies where a prescribed Labuan entity fails the relevant regulations | The consequence applies for the affected year of assessment |
| Income Tax Act election | Taxed under the Income Tax Act 1967 | Election under Section 3A of LBATA | The statute describes the election as irrevocable |
The old flat RM20,000 tax election is no longer the rule to plan around.
Labuan FSA reported that the 2019 tax reforms abolished that election and introduced substance requirements into the revised Labuan tax framework.
One exception is intellectual property income. Labuan FSA guidance states that income from intellectual property assets is taxed under the Income Tax Act 1967 rather than the standard Labuan trading rate.

What the Substance Rules Require in 2026
Substance is not one universal headcount test. P.U. (A) 423/2021 sets different employee and operating expenditure thresholds by activity.
HASiL’s guidance dated 5 November 2025 also explains what counts as a fit and proper full time employee for Labuan substance purposes.
HASiL says a qualifying employee must meet the fit and proper criteria and be employed by the Labuan entity on a permanent or contractual basis.
The employee must also perform the work physically for that entity in Labuan. A nominal employee arrangement does not satisfy that description.
| Common Activity Category | Minimum Labuan Employee Requirement | Minimum Annual Labuan OPEX | Additional Point |
|---|---|---|---|
| Non pure equity investment holding | 1 fit and proper full time employee | RM20,000 | Applies to holding activity beyond pure equity holding |
| Pure equity holding | Employee count exempt under the applicable exemption framework | RM20,000 | Management and control conditions apply, including at least one board meeting in Labuan each year |
| Other Trading Entity under Item 20 | 2 fit and proper full time employees | RM50,000 | Covers listed services such as administrative, accounting, payroll, agency, and specified management services |
| Licensed financial activities | Varies by regulated activity | Varies by regulated activity | Use the exact activity schedule and licensing rules before budgeting |
The Item 20 threshold should not be copied onto every business described casually as a “trading company.” The regulations contain activity specific schedules.
Classify the activity the Labuan entity will perform before assigning a staffing and expenditure number.
Notes from InvestinAsia Consultants
The first modelling exercise should map contracts, revenue, staff functions, decision making, and annual Labuan spend. A structure that only works after assuming the substance cost away usually needs a different design before incorporation.
How Much a Labuan Company Costs
The government fee is only one layer of the budget. Labuan FSA lists a USD 30 name reservation fee and incorporation fees that rise with paid up capital.
Its revised fee schedule sets the annual Labuan company fee at USD 1,000 from 1 January 2026.
| Statutory Item | Current Amount | Basis |
|---|---|---|
| Name reservation | USD 30 | Per reservation application |
| Incorporation | USD 300 | Paid up capital of RM50,000 and below |
| Incorporation | USD 600 | Paid up capital above RM50,000 and below RM1 million |
| Incorporation | USD 1,500 | Paid up capital of RM1 million and above |
| Annual Labuan company fee | USD 1,000 | Current revised rate effective from 1 January 2026 |
These are Labuan FSA fees, not the total cost of owning the structure.
A realistic budget can also include the licensed trust company, registered office and secretary, resident director arrangements, accounting, audit, tax work, licence fees, employees, premises, payroll, and substance expenditure.
There is no defensible single all in Labuan company price without knowing the activity. A pure equity holding company and a licensed financial business have different substance and regulatory cost profiles.
For an onshore comparison, our current vOffice Group Malaysia registration page lists an Essential Sdn Bhd package at USD 2,794 and a Complete package at USD 5,331.
The Essential scope includes incorporation, one year of corporate secretary and SST registration support, one year of virtual office services, and banking assistance.
The Complete package adds one year of accounting and tax reporting for up to 300 transactions.
Those figures are an onshore Sdn Bhd service benchmark. They are not Labuan company setup fees and should not be inserted into a Labuan budget as if the service scope were interchangeable.
Once you know the activity and required substance, compare the entity routes on the same assumptions.
If you want incorporation, compliance, banking preparation, and local operating requirements scoped together, our Malaysia market entry services can turn the entity choice into an executable setup plan.

A Labuan Company Can Deal With Malaysia, but the Old Rule Needs Context
The blanket statement that a Labuan company cannot deal with Malaysian residents is outdated. Labuan FSA’s 2019 reporting says the revised tax framework removed ring fencing restrictions on dealings with residents and in Malaysian Ringgit.
That reform did not turn every Labuan company into an ordinary onshore operating company.
Current Labuan IBFC guidance still states that Labuan company business transactions are generally conducted in currencies other than Malaysian Ringgit, subject to stated exceptions. Licensed activities can also carry their own restrictions.
Labuan IBFC also states that a Labuan company can own a controlling stake in a Malaysian domestic company.
That can make the structure relevant to a regional holding arrangement even when the underlying operating company is an onshore Malaysian entity.
The practical question is narrower than “Can Labuan do business in Malaysia?” Review who signs the contracts, where customers and staff sit, and which currency the company needs.
Then check whether a regulated activity, onshore licence, or onshore operating footprint changes the answer.
Labuan Company vs Sdn Bhd
The better structure depends on where the business earns revenue and performs its work.
Labuan can suit a cross border model that can support Labuan substance. A Sdn Bhd is often the more direct fit when the commercial centre of gravity is ordinary onshore Malaysian operations.
| Decision Factor | Labuan Company | Sdn Bhd |
|---|---|---|
| Governing company framework | Labuan Companies Act 1990 and Labuan FSA administration | Companies Act 2016 and SSM administration |
| Tax framework | LBATA for qualifying Labuan business activity, with activity and substance tests | Income Tax Act 1967 for ordinary onshore company income |
| Substance focus | Labuan employee, operating expenditure, and activity specific tests can determine tax treatment | Different onshore tax, director, licence, and operating requirements apply |
| Domestic Malaysian operations | Possible in defined circumstances, but requires currency, licensing, and activity analysis | Common operating vehicle for ordinary Malaysia market activity |
| Formation route | Must use a licensed Labuan trust company | Registered with SSM under the onshore company framework |
| Best comparison question | Can the real business support the Labuan tax and substance model? | Does the business need a straightforward onshore Malaysian operating company? |
For the full onshore entity mechanics, read Sdn Bhd in Malaysia.
The broader guide on how to register a company in Malaysia covers the normal SSM path, directors, post incorporation tasks, and market entry issues outside the Labuan regime.
Tax should also be compared on the correct base. Our guide to corporate tax in Malaysia for foreign owned companies explains the onshore framework.
A lower Labuan headline rate does not settle the decision if the activity cannot meet Labuan rules or the business still needs an onshore operating entity.
When a Labuan Company Fits the Operating Model
A Labuan company is worth considering when the legal activity, commercial flows, and substance plan point in the same direction. The following operating patterns show where the structure can fit.
Cross Border Services With Real Labuan Substance
A service business can make sense in Labuan when its activity falls within the Labuan framework and the company can place the required people and expenditure there.
Build the substance budget into the operating model before counting the tax benefit.
This can be relevant to regional administrative, agency, backroom, payroll, and specified management activities, but the Item 20 list and any licensing rules need to match the actual service delivered.
Regional Investment Holding
Labuan can support a holding structure when the entity genuinely performs the relevant holding activity and meets the correct pure or non pure equity substance test.
Labuan IBFC also permits Labuan companies to hold controlling stakes in Malaysian domestic companies.
The distinction between pure equity and non pure equity matters because the employee test changes. A company that earns interest, rent, royalties, or other income cannot assume the pure equity rule applies.
Regulated Labuan Financial Business
Labuan is also a regulated financial centre for activities such as banking, insurance, fund management, leasing, and company management.
These activities can require licences, capital, staffing, governance, and activity specific substance beyond basic company formation.
In that case, the company is part of a regulated operating model. It should not be treated as a simple low tax wrapper.
When an Onshore Malaysia Structure May Be Cleaner
A Sdn Bhd can be the cleaner starting point when customers, staff, premises, contracts, licences, and day to day management sit mainly in onshore Malaysia.
A Labuan structure becomes harder to justify when it needs an artificial operating arrangement that exists mainly to preserve a tax result.
Your Main Business Is Domestic Malaysia
If the company will hire onshore staff, lease premises, invoice local customers, and obtain domestic operating licences, map those requirements before adding a Labuan layer.
The onshore vehicle may match the commercial facts with less structural friction.
The Substance Cost Exceeds the Tax Benefit
Employee and operating expenditure thresholds are recurring costs. Trust company, accounting, audit, tax, and licence costs can also recur.
Compare the annual tax difference against the full annual compliance cost rather than the incorporation fee alone.
The Business Needs Ringgit and Activity Specific Permissions
Current Labuan guidance still contains currency rules and licensed business restrictions despite the 2019 removal of the old tax ring fencing.
A business built around Malaysian Ringgit transactions or onshore regulated activity needs a specific rules check before choosing Labuan.
Notes from InvestinAsia Consultants
Start with the transaction map rather than the tax rate. List the contracting entity, customer location, payment currency, staff location, licence holder, and management location. Those facts show whether Labuan helps or simply adds compliance.
Annual Compliance Still Matters After Incorporation
Incorporation creates an ongoing compliance calendar. Section 109 of the Labuan Companies Act requires the annual return once in each calendar year, no later than 30 days before the anniversary of incorporation.
The Act also requires proper accounting and other records in Labuan. Labuan FSA’s company guidance says those records are kept at the registered office or another place in Labuan and remain available for director inspection.
Tax filing has also changed. HASiL introduced the current year self assessment system for Labuan entities from Year of Assessment 2025.
Its current filing programme states that the return of profits and tax due are generally due within seven months from the close of the accounting period.
Labuan FSA states that a Labuan company can open a company bank account with banks in Labuan or outside Labuan. That is legal capacity, not a promise of bank approval.
The bank still applies its own KYC, beneficial ownership, source of funds, business model, and risk review.
Annual compliance can include the Labuan FSA annual fee, annual return, accounting records, audit where required, LBATA filings, substance evidence, payroll records, trust company support, beneficial ownership reporting, and licence renewals.
Choose Labuan Only After the Activity Test
A Labuan company can work for cross border services, investment holding, and regulated financial activity when the real business can meet the relevant Labuan rules.
The tax rate follows that design. It should not replace it.
Before incorporating, compare two complete models. For Labuan, include the trust company, substance, filings, tax, banking, and licensing.
For the onshore Sdn Bhd, include the director, tax, licensing, accounting, and operating requirements. That comparison shows the real first year and recurring cost.
