A foreign-owned company within the scope of UAE Corporate Tax must apply for registration with the Federal Tax Authority (FTA) through EmaraTax. Its deadline depends on when and how the company was established. A mainland licence, free zone licence, or foreign parent company does not, by itself, tell you which date applies.
Key Takeaways
- A UAE company incorporated on or after 1 March 2024, including a free zone company, generally has three months from incorporation to apply for Corporate Tax registration.
- A foreign legal entity with a UAE permanent establishment generally has six months from the establishment’s existence to apply if it became a non-resident taxable person on or after 1 March 2024.
- FTA registration is free. Late registration can attract an AED 10,000 administrative penalty, subject to the conditions of the FTA’s penalty waiver initiative.
- 30 September 2026 is the return filing and payment deadline for a tax period that ended on 31 December 2025. It is not a universal registration deadline.
Which Foreign-Owned Businesses Must Register?
The UAE Ministry of Finance says taxable persons must obtain a Corporate Tax Registration Number. This includes UAE-incorporated companies and free zone entities. A foreign legal entity can also fall within the regime through a UAE permanent establishment or another applicable UAE nexus.
| Business structure | Registration point to check |
|---|---|
| Foreign-owned mainland company | The UAE company is generally the taxable person and applies in its own name. |
| Foreign-owned free zone company | Free zone status does not remove the registration requirement for a taxable person, even where qualifying income may receive a 0% rate. |
| UAE branch of a UAE company | The branch is generally part of its head office and does not register separately for Corporate Tax. |
| UAE branch of a foreign company | Assess the foreign legal entity’s UAE permanent establishment or nexus. The branch is not a separate legal person. |
Registration and the amount of tax payable are separate questions. A company should assess its registration obligation even if it expects no taxable profit. Corporate Tax registration is also distinct from VAT registration. For a wider explanation of rates and other UAE taxes, see InvestinAsia’s Dubai tax guide.
The Ministry of Finance lists limited categories that may be excepted from registration or may have different requirements. A business claiming an exception should check its precise legal category before treating itself as outside the process.
How to Determine Your Corporate Tax Registration Deadline
FTA Decision No. 3 of 2024 sets different clocks for established UAE companies, newly incorporated entities, and non-resident legal entities. Start with the taxable person’s legal status and relevant date, then apply the matching rule.
| Taxable person | Applicable registration timeframe |
|---|---|
| UAE legal entity incorporated on or after 1 March 2024, including a free zone person | Within three months of incorporation, establishment, or recognition. |
| Foreign legal entity effectively managed and controlled in the UAE | Within three months from the end of its financial year, under the applicable resident-person rule. |
| Non-resident legal entity with a UAE permanent establishment on or after 1 March 2024 | Within six months from the permanent establishment’s existence. |
| Non-resident legal entity with a UAE nexus established on or after 1 March 2024 | Within three months from establishment of the nexus. |
Entities already established before 1 March 2024 were given earlier deadlines, generally tied to their licence issuance month. Those dates fell in 2024. The FTA’s registration clarification also explains how to handle multiple licences and cases where a non-resident entity has both a permanent establishment and a nexus.
Notes from InvestinAsia Consultants
Put the incorporation record, every UAE licence, and the head office details beside your proposed registration date before opening EmaraTax. This makes it easier to identify the correct taxable person and the date that starts its registration clock. A branch licence should not automatically become a second Corporate Tax application.
For founders still choosing between a mainland and free zone entity, the Dubai mainland registration guide explains the licensing stage that precedes tax registration. Once the entity and its dates are settled, InvestinAsia’s Dubai market entry services provide a route to discuss setup and ongoing compliance as one scope.

Documents to Prepare Before Opening EmaraTax
The FTA’s Corporate Tax registration service lists the documents used to establish the entity, its licences, ownership, and signing authority. Requirements can vary with the applicant’s legal form. Prepare current PDF copies and make sure names and dates agree across them.
- Certificate of incorporation, memorandum of association, or partnership agreement, where available.
- Commercial registration certificate or another official document from the licensing authority.
- Valid trade licence, including branch licences where applicable.
- Emirates ID and passport details for owners holding more than 25% ownership and for authorised signatories, as applicable.
- Evidence that the signatory may act for the entity.
The FTA service page states that accepted uploads are PDFs with a maximum size of 15 MB per document. Check the live service instructions for any additional document requested for your entity type.
How to Submit a Corporate Tax Application in EmaraTax
The FTA’s May 2026 user guide sets out the registration path in EmaraTax. Submission starts an FTA review; it does not itself mean that a Corporate Tax Registration Number has been approved.
- Create or access an EmaraTax account. Activate the account and select the Taxable Person service if it is not already available.
- Open the correct taxable person profile. Create a profile if the entity is absent from the account, then select View to reach its dashboard.
- Start the Corporate Tax application. Choose the Corporate Tax action menu and select Register.
- Enter entity and licence details. Select the legal form, enter the incorporation date and tax period, then add licence, activity, owner, branch, and contact information where requested.
- Add the authorised signatory and review the file. Compare the completed form with the supporting documents before accepting the declaration and submitting it.
- Keep the application reference number. The FTA uses it for correspondence while it reviews the application.
According to the FTA service page, applying is free of charge. Its published estimate is 20 business days to complete review after a complete application is received. Treat that as an FTA estimate, since a request for further information can affect the actual completion date.
Notes from InvestinAsia Consultants
Save the submission reference and assign someone to monitor both the EmaraTax dashboard and its registered email address. The FTA may ask for another document before deciding. Keep the registration deadline, application status, and first return deadline as separate entries in your compliance calendar.
What Happens After Registration?
The FTA may approve an application, reject it, or request more information. Its user guide says the dashboard shows the application’s progress and the authority notifies the applicant of its decision. Once approved, the entity can obtain its Corporate Tax registration certificate.
Registration does not complete the annual filing obligation. The Ministry of Finance says taxable persons generally file a Corporate Tax return within nine months after the end of each tax period, with payment generally due on the same timeline. On 26 September 2026, the FTA confirmed that taxable persons whose tax period ended on 31 December 2025 must file and pay by 30 September 2026. That dated filing deadline should not be substituted for an entity’s registration deadline.
Late registration can trigger an AED 10,000 penalty, according to the FTA. Its penalty waiver initiative may apply where an eligible person submits the first return, or the applicable annual declaration, within seven months of the end of the first tax period. That seven-month condition is earlier than the ordinary nine-month return deadline; eligibility needs to be checked against the entity’s own first period.
A clean handover from licensing to tax compliance leaves the company with three recorded dates: the registration application deadline, its tax period end, and its return filing deadline. InvestinAsia’s Dubai service page covers both company setup and continuing compliance, so the work can be scoped before a filing date is missed.
