It costs time and a rejected filing to discover the rule after the fact.<\/p>\n<\/div>\n<h2>Who Qualifies as a Designated Representative for the Significant Controllers Register?<\/h2>\n<p>A designated representative must be one of two categories: a shareholder, director, or employee of the company who is a natural person resident in Hong Kong, or an accounting professional, legal professional, or a person licensed to run a trust or company service business. The Companies Registry&#8217;s own FAQ on this point is specific: the two categories are not interchangeable substitutes for each other, and a company secretary who is not actually an employee of the company cannot qualify under the first category just by holding the secretary title.<\/p>\n<p>This is where the assumption gap opens for founders using a corporate TCSP as company secretary. Appointing the firm as company secretary does not, on its own, name a qualifying designated representative. What actually satisfies the requirement is a specific named individual, either a genuine director, employee, or member of your own company who lives in Hong Kong, or a licensed professional at the TCSP acting in that professional capacity. If your service agreement doesn&#8217;t spell out who that named person is, your Significant Controllers Register may be missing a required field without anyone noticing until an inspection.<\/p>\n<p>A registered non-Hong Kong company, meaning a foreign company operating a branch in Hong Kong rather than a locally incorporated subsidiary, does not need to keep an SCR at all. That exemption applies only to genuine branches, not to offshore holding structures that happen to route through Hong Kong, so it is worth confirming which category your entity actually falls into before assuming you&#8217;re exempt.<\/p>\n<h2>Why Do Foreign Founders Assume These Roles Are Optional?<\/h2>\n<p>Four assumptions come up again and again with foreign founders, and each one is wrong in a slightly different way.<\/p>\n<p><strong>&#8220;I have a virtual office, so compliance is covered.&#8221;<\/strong> A virtual office typically provides a registered address, which satisfies the separate requirement for a physical Hong Kong address. It does not, by itself, include company secretary duties or a named designated representative. Those are distinct services that need to be explicitly included in whatever package you buy.<\/p>\n<p><strong>&#8220;My company secretary firm automatically handles the SCR too.&#8221;<\/strong> Many do, but not automatically. Losing your company secretary, most often because the outgoing secretary resigns and nobody lines up a replacement in time, does not trigger an automatic fine the moment the seat sits empty.<\/p>\n<p>Under Section 476 of the Companies Ordinance, if the Registrar finds a company in breach of Section 474, it issues a formal direction giving the company between one and three months to appoint someone.
